The Role
You will play a key role on high-profile transactions involving equity and debt securities, working closely with senior attorneys and clients on matters that demand technical excellence and commercial judgment. The practice is fast-paced, collaborative, and intellectually rigorous—ideal for an associate who thrives on responsibility and visibility.
Key Responsibilities
- Represent issuers, investment banks, and underwriters in public and private offerings of equity, equity-linked, and debt securities
- Advis[e] on securities law compliance under the Securities Act of 1933 and the Securities Exchange Act of 1934
- Counsel companies on exchange listing requirements and governance considerations
- Draft and review registration statements, prospectuses, offering memoranda, and shelf filings
- Prepare and review SEC filings, including periodic reports and proxy statements
- Negotiate and draft underwriting, purchase, and related transaction agreements
Ideal Candidate Profile
- Juris Doctor (JD) required
- 2–6 years of capital markets experience gained at a law firm
- Strong background in public company representation and securities offerings
- Admitted to practice in the relevant U.S. jurisdiction
- Detail-oriented, commercially minded, and comfortable handling complex matters with limited supervision
