About the role
A leading global law firm is seeking a mid-level Capital Markets Associate to join its sophisticated corporate practice in Miami. This is a standout opportunity for an associate looking to work on high-profile U.S. and cross-border securities transactions while gaining meaningful responsibility and client exposure.
What You’ll Do
- Advise clients on a broad spectrum of capital markets transactions, including equity and debt offerings
- Draft and negotiate offering documents and related transaction materials
- Lead and support deals such as IPOs, Rule 144A and Regulation S offerings, PIPEs, SPAC transactions, REIT offerings, and at-the-market (ATM) programs
- Manage due diligence processes and coordinate multi-disciplinary deal teams
- Provide guidance on securities laws, disclosure obligations, and corporate governance matters
- Take an active role in transaction execution from structuring through closing
What They’re Looking For
- 2–6 years of experience in corporate transactions, with a strong focus on capital markets
- Demonstrated experience handling sophisticated securities offerings and related documentation
- Strong understanding of transaction mechanics and the ability to manage deal execution
- Excellent academic credentials and superior writing skills
- Strong interpersonal skills, sound judgment, and the ability to thrive in a fast-paced environment
- Experience working collaboratively across teams and mentoring junior associates
- Admission to the Florida Bar (or eligibility to obtain admission promptly)
- J.D. required, along with prior experience working in a law firm
