About the role

This role will provide business-aligned guidance focused on governance, compliance, and operational risk management. You will partner with leaders, compliance stakeholders, and cross-functional teams to translate complex issues into practical recommendations. The position offers the opportunity to strengthen responsible execution, improve decision-making, and support sustainable growth within a technology-driven environment.

Location: Brea, CA – US based candidates only, no visa sponsorship available

Responsibilities

  • Lead and manage regulatory obligations under the Securities Act and NYSE Listing Standards
  • Oversee preparation and filing of SEC reports and disclosures
  • Drive improvements in disclosure controls and compliance processes
  • Support Disclosure Committee processes and materials preparation
  • Administer and enhance insider trading compliance programs
  • Draft, review, and maintain minutes for Board and committee meetings
  • Advise the Board on corporate governance trends and regulatory developments
  • Lead planning and execution of the annual shareholders' meeting
  • Manage shareholder proposal evaluations and related disclosures
  • Provide legal support for executive and equity compensation programs

Qualifications

  • J.D. from an accredited law school and active bar membership
  • Significant experience in securities law and corporate governance at a public company or major law firm
  • Deep knowledge of SEC reporting requirements and NYSE standards
  • Experience supporting Boards of Directors and senior executive leadership
  • Strong judgment and attention to detail in managing complex matters
  • Proven collaboration skills across Finance, Investor Relations, HR, and executive teams
  • Leadership experience in managing legal professionals or paralegals

Compensation

$325,000 – $360,000 annually
