Responsibilities
- Assisting with public company securities law compliance and preparation of SEC filings, including 10-K, 10-Q’s, Proxy Statement, 8-K’s, and ‘33 Act registration statements.
- Advising on insider trading and Section 16 issues for directors, officers and other insiders.
- Assisting with maintaining the governance calendar for the board and its committees, preparing materials for board and committee meetings, as well as assisting with annual shareholders meetings, including the drafting of resolutions, consents, certificates and minutes.
- Assisting with various corporate governance initiatives relating to the company’s board of directors, including director and officer questionnaires, maintenance of corporate records, as well as review of Articles of Incorporation, Bylaws, board committee charters and other corporate governance documents and policies.
- Handling corporate governance matters, including assisting in the preparation for board and committee meetings and maintaining corporate minute books and records.
- Assisting with and supporting all phases of acquisitions, equity and debt financing transactions, private equity investments, and other sophisticated commercial transactions.
- Working with outside counsel to manage the legal aspects of financing transactions, including credit agreements and convertible note transactions.
- Assisting cross functional efforts to advance environmental, social, and governance (ESG) initiatives.
- Advising on executive and director compensation, equity incentive plan matters, and related securities matters.
Qualifications
- J.D. degree from an accredited law school and admitted to practice law in North Carolina (or eligible to practice as in-house counsel in NC).
- 5-10 years of experience as a legal professional; experience at a top tier law firm or as in-house counsel preparing and reviewing SEC filings and working on complex transactional and commercial matters.
- Experience providing legal counsel as in-house counsel, including exposure to international operations.
