Position Overview
A growing law firm is seeking an experienced Corporate & Transactional Attorney to join its expanding practice. This is an excellent opportunity for an attorney who enjoys building long-term client relationships, handling sophisticated business transactions, and serving as a trusted legal advisor to a diverse client base. The firm offers a collaborative environment with flexible remote work options.
Key Responsibilities
- Advising clients on a wide range of corporate and transactional legal matters.
- Handling entity formation, structuring, and corporate governance.
- Drafting, reviewing, and negotiating commercial contracts and agreements.
- Preparing and negotiating vendor, supplier, licensing, and service agreements.
- Led and supporting mergers, acquisitions, asset purchases, and business sale transactions.
- Drafting employment and independent contractor agreements.
- Serving as outside general counsel, providing ongoing legal and strategic business advice.
- Managing client matters from inception through completion with minimal supervision.
- Developing and maintaining strong client relationships while delivering practical legal solutions.
Qualifications
- Active license to practice law in at least one U.S. jurisdiction.
- Minimum of 3 years of experience in corporate, business, or transactional law.
- Strong experience drafting, reviewing, and negotiating complex commercial agreements.
- Much involvement in mergers and acquisitions (M&A) transactions is highly preferred.
- Experience advising business clients on corporate and commercial matters.
- Hospitality or travel industry experience is a plus but not required.
- Ability to independently manage a full caseload and client relationships.
- Excellent analytical, communication, negotiation, and problem-solving skills.
- Highly organized, adaptable, and capable of managing multiple priorities in a fast-paced environment.
- Willingness to travel as needed.
