Responsibilities
- Draft, review, negotiate, and interpret a wide variety of commercial agreements, including Operating Agreements, Vendor and supplier agreements, Customer contracts, Professional services agreements, Non-disclosure agreements (NDAs), Licensing agreements, Master services agreements (MSAs), Purchase and sales agreements, Employment-related agreements, as appropriate.
- Provide legal advice to internal stakeholders regarding contract interpretation, compliance, and risk management.
- Lead or support corporate and strategic transactions, including mergers and acquisitions, joint ventures, financing transactions, and business restructurings, as applicable.
- Conduct legal due diligence and assist with the preparation, review and negotiation of transaction documentation.
- Manage multiple matters and competing priorities while meeting deadlines in a fast-paced, collaborative environment.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active license to practice law and membership in good standing in at least one U.S. jurisdiction.
- Minimum of 4 years' experience in transactional law at a law firm or in-house legal department.
- Demonstrated experience drafting and negotiating complex commercial contracts.
- Strong knowledge of contract law and corporate law, and general transactional legal principles.
- Excellent written, verbal, and interpersonal communication skills.
- Strong analytical, negotiation, and problem-solving abilities.
- Exceptional attention to detail and organizational skills.
- Ability to collaborate effectively with business leaders, internal stakeholders, outside counsel, and cross-functional teams.
Preferred Qualifications
- Experience with complex financial deals, syndicated deals, stock purchases and asset purchases in healthcare, technology, manufacturing, financial services, or other relevant industries.
- Experience supporting mergers and acquisitions or other strategic transactions.
- Familiarity with regulatory compliance and corporate governance.
- Strong understanding of how legal strategy can support broader business and operational objectives.
