About the role

KPMG is seeking a Manager to join our Mergers & Acquisitions practice. This role involves advising clients on corporate and partnership tax services, working on due diligence and tax structuring, and assisting with various types of transactions.

Responsibilities

  • Advising clients on a full spectrum of corporate and partnership tax services including planning, research, and other mergers and acquisitions activities
  • Working as a part of a multi-disciplinary team that focuses on delivering due diligence and tax structuring services, and communicating findings and opportunities to clients
  • Executing on complex partnership transactions such as buy-side and sell-side partnership acquisitions, dispositions, mergers, and restructurings
  • Aiding with going public transactions such as IPOs and de-SPACs and take private transactions of companies operating in Umbrella Partnership C-Corporation ("Up-C") structures
  • Aiding with review and remediation of deficiencies in historical partnership allocations, basis adjustments and capital accounts
  • Advising clients entering transactions in the renewable energy transactions such as tax equity partnerships and tax credit sales (transferability) as allowed by the Inflation Reduction Act

Additional Responsibilities for Senior Manager

  • Participating in and contributing to market and business activities that are external to the firm while providing direction to and maintaining managerial accountability for a team
  • Acting as a coach and mentor to other tax professionals

Qualifications

  • Minimum five years of recent experience in federal tax and/or mergers and acquisition in a public accounting firm, corporate tax department, or law firm
  • Bachelor's degree, J.D., LL.M. in taxation, and/or Master's in taxation (MST) from an accredited college/university
  • Licensed CPA, EA or JD/LLM, in addition to others on KPMG's approved credential listing; must obtain at least one of the approved designations/credentials within one year of employment
  • Knowledge of a broad range of corporate and partnership tax matters in various industries
  • Possess an interest in developing, motivating, and training associate and senior associate level team members; excellent modeling, research, and writing skills

Additional Qualifications for Senior Manager

  • Minimum eight years of recent experience in federal tax and/or mergers and acquisition in a public accounting firm, corporate tax department, or law firm
  • Experience mentoring and counseling staff-level team members
