About the Role
We are seeking an Associate with 3+ years of experience with transactional tax and business planning matters to join our Corporate Practice Group. This unique role offers a split between transaction tax planning and corporate/M&A transactional work. A successful candidate will possess foundational knowledge of federal, state, and local transaction tax laws (including S corporations and tax partnerships), experience in planning and implementing corporate/M&A transactions, and a desire to integrate both types of work as a career path.
Responsibilities
Transaction Tax Work
- Work closely with partners to structure transactions (including company formations, joint ventures, the acquisition and disposition of companies and assets, restructurings, equity raises, debt transactions, and executive compensation arrangements) to achieve tax planning objectives principally for middle market companies and their owners, investors, lenders, and management teams.
- Research and analyze complex federal, state, and local transaction tax issues to determine actionable tax consequences from proposed transactions.
- Stay current on all relevant transaction tax developments.
Business Planning Work
- Work closely with partners to plan and implement private transactions (principally in the middle market) to achieve planning objectives, including company and joint venture formations, asset purchase and sale transactions, equity purchase and sale transactions, merger and division transactions, other reorganization transactions, and executive compensation arrangements.
- Draft and help negotiate transaction documents, including governing documents, implementing resolutions, purchase and sale agreements, employment agreements, and other relevant items.
- Stay current on all relevant laws applicable to business planning matters.
- Collaborate closely with other practice areas to help ensure effective deal execution.
Requirements
- J.D. degree required; Tax LL.M. from a prominent program is preferred.
- Minimum of 3 years of combined transactional tax and business planning experience in a law firm, accounting firm, and/or in-house corporate roles.
- Active bar admission in good standing in Texas (or eligibility to waive in).
Skills
- Strong analytical, legal drafting, and corporate negotiation skills.
- Ability to explain complex tax concepts clearly to clients and internal deal teams.

Pay
The level of pay within the range will depend on a variety of job-related factors, including but not limited to qualifications, education, and relevant job experience.
