About the role

The Corporate Counsel/In House Attorney role at Simon Group Holdings is responsible for representing the company and its operating affiliates and subsidiaries in a broad variety of transactional matters, including drafting and negotiating commercial and real estate contracts, leading negotiations, advising on contract enforcement and disputes, providing risk mitigation strategies, and contract maintenance and administration.

Key Responsibilities

  • Provide hands-on legal advice regarding customer, supplier, and vendor negotiations, strategies, and contract risk mitigation
  • Draft and negotiate commercial contracts with customers, suppliers, and vendors
  • Advises on contract enforcement, disputes, terminations, and transitions
  • Draft and negotiate real estate contracts and leases
  • Develop and maintain form documents to streamline transactions; collaborate with the business team to provide legal support for an efficient contracting process
  • Support and promote compliance of policies and procedures
  • Support merger and acquisition and joint venture activities
  • Identify and advise on legal and business risks associated with business opportunities, including compliance with applicable laws and regulations
  • Provide support to the Chief Legal Officer on the Company’s risk management strategies
  • Support litigation matters by drafting and filing motions and pleadings where necessary
  • Manage and maintain trademarks and patents
  • Oversee outside counsel as needed
  • Develop a thorough understanding of and familiarity with the Company’s business, its people, markets, facilities, customers, and competitors

Education & Professional Experience

  • 5-10 years professional experience
  • Juris Doctor Degree
  • Licensed to practice law in the State of Michigan
  • Experience with contract drafting, review, and negotiation (Preferred)
  • Experience with mergers and acquisitions (Preferred)
  • Experience with non-Disclosure Agreements (Preferred)
  • Experience with employment law (Preferred)
  • Experience working in energy, sports, oil & gas industries (Preferred)
