About the role
This role supports a public technology organization on a broad range of securities, governance, and corporate finance matters. The attorney will partner closely with leadership, the board, internal stakeholders, and outside counsel to help ensure strong compliance, sound risk management, and effective corporate operations across the business.
Responsibilities
- Prepare and review public company securities filings, including Form 10-K and 10-Q
- Manage annual stockholder meetings and related activities
- Advise on corporate governance matters and prepare materials for Board meetings
- Manage international corporate governance and compliance for subsidiaries
- Serve as a key advisor on legal aspects of mergers and acquisitions and corporate finance transactions
- Collaborate with internal departments and outside counsel on various matters
Qualifications
- J.D. degree and active U.S. bar membership in good standing
- 10+ years of relevant legal experience; law firm and in-house experience preferred
- Deep knowledge of federal securities laws and Nasdaq listing standards
- Experience with SEC filings (Form 10-K, 10-Q, 8-K) and annual proxy statements
- Expertise in M&A and corporate finance transactions
- Fluency in AI tools for legal applications, or a willingness to develop it
- Experience at a public technology or SaaS company is a plus

Pay
$215,000 – $253,000 annually
