Corporate Counsel

Responsibilities

• Drafting, reviewing, and negotiating commercial agreements, including MSAs, customer contracts, NDAs, licensing agreements, and distributor arrangements
• Advising on regulatory and compliance matters across federal, state, and international jurisdictions
• Partnersing with Finance, HR, Compliance, and Operations on timely, practical legal advice
• Identifying and mitigating legal risk and recommending proactive solutions
• Supporting M&A due diligence, deal structuring, and integration on acquisitions
• Advising on employment matters and internal policy alongside HR
• Overseeing IP protection and coordinating with outside counsel on filings
• Managing pre-litigation disputes and litigation or arbitration with outside counsel

Qualifications

• J.D. and active membership in good standing with at least one U.S. state bar
• 4+ years of relevant legal experience in a corporate legal department or law firm, in-house experience preferred
• Strong background in corporate law, commercial contracts, and compliance
• Comfort operating in a global organization with cross border transactions
• Familiarity with data privacy, cybersecurity, or international regulatory frameworks a plus

Pay

Competitive salary plus bonus and long-term incentive compensation.

Schedule

Hybrid flexibility with 1 or 2 days in office in Sarasota, FL.
