Job Summary
Iambic is seeking a Sr Corporate Counsel to join its growing legal team. Reporting to the VP, Legal, this attorney will serve as a key generalist business partner – displaying leadership in the company’s commercial contracting and corporate governance functions while contributing to securities, financing, and public-company readiness workstreams.
Key Responsibilities
Draft, review, and negotiate a broad range of commercial transactions, including vendor and services agreements, clinical and research collaborations, licensing and confidentiality agreements, consulting and SaaS contracts, and other day-to-day commercial arrangements supporting the business. Support corporate governance matters, including Board and committee meeting preparation, minutes, resolutions, entity management, and maintenance of corporate records across the company’s entities. Partner closely with the Finance team on financing transactions, capitalization matters, and the legal workstreams. Lead matters related to Securities Exchange Act of 1934 reporting and related public-company compliance, including preparation of periodic and current reports (Forms 10-K, 10-Q, and 8-K), Section 16 filings, proxy statements, and ongoing disclosure obligations. Develop, implement, and maintain templates, playbooks, policies, and processes that improve the efficiency, consistency, and risk posture of the legal function as it scales. Proactively identify, evaluate, and implement AI-enabled tools and workflows to drive efficiency in the legal function, including contract review and management, knowledge management, and document automation, while ensuring appropriate guardrails around confidentiality, data privacy, and responsible AI use. Provide practical, business-oriented legal advice to stakeholders across the organization, identifying and escalating material legal and business risks while enabling the company to move quickly. Manage and coordinate outside counsel on specialized matters, controlling scope, budget, and quality of work product. May mentor or supervise junior legal staff and/or paralegals as the legal function grows.
Qualifications
J.D. from an accredited law school and active membership in good standing of at least one U.S. state bar. Minimum of 6–8 years of relevant legal experience, including a combination of a top-tier law firm and/or in-house experience at a public company; life sciences, biotech, or technology industry experience strongly preferred. Demonstrated experience drafting and negotiating a wide range of commercial agreements and advising on corporate governance matters. Working knowledge of federal securities laws and Securities Exchange Act of 1934 reporting requirements; prior experience supporting an IPO or public-company reporting cycle is essential. Excellent business judgment with the ability to balance legal risk against commercial objectives, prioritize across competing demands, and operate effectively in a fast-paced environment. Genuine curiosity about and willingness to explore and implement AI-enabled tools and workflows to improve the efficiency of the legal function; comfort working at an AI-driven company and a thoughtful approach to the associated confidentiality, data privacy, and governance considerations. Experience with data privacy and data governance (e.g., CCPA/CPRA, GDPR) a plus. Strong drafting, communication, and interpersonal skills, with a collaborative, hands-on approach and a track record of partnering effectively with cross-functional stakeholders.
