About the role
The Senior Counsel Commercial U.S./Canada and Global will serve as a strategic advisor to senior business leaders, providing practical legal counsel on complex commercial matters while supporting key business initiatives and growth objectives.
Responsibilities
- Serve as a trusted legal advisor to the F&II US/Canada leadership team, providing strategic counsel on legal, compliance, risk and business matters while partnering with key cross-functional stakeholders.
- Align with other GLBG peers and specialists, including the General Counsel F&II LATAM, on relevant legal, strategic, business and business integrity issues consistent with the GLBG Operating Model and vision and mission.
- Support global accounts by advising on cross-border commercial, contracting, and compliance issues, and contribute to the development of a Global Commercial Center of Excellence.
- Oversee and manage outside counsel to ensure high-quality legal support aligned with business objectives and legal strategy.
- Draft, review, and negotiate commercial agreements, including customer, supply, distribution, and confidentiality agreements across business segments.
- Identify and assess legal risks and propose balanced solutions that protect and support business objectives.
- Enhance contracting processes, templates, and negotiation practices, including the adoption of AI-driven efficiencies.
- Manage commercial disputes, claims, and pre-litigation matters in partnership with internal stakeholders and external counsel.
- Oversee strategy, budgeting, and execution of litigation involving commercial issues.
- Advises on dispute prevention, contract enforcement, and resolution strategies.
- Provide guidance on legal, regulatory, and compliance requirements impacting commercial operations in the U.S. and Canada.
- Support policies, training, governance initiatives, and advise on emerging legal developments.
Requirements
- Juris Doctor (JD) from an accredited law school; admitted to practice in at least one U.S. jurisdiction.
- 10+ years of relevant legal experience in a firm or in a multinational company, including significant commercial contracting and negotiation responsibilities, and significant experience counseling a business organization or client.
- Experience advising on commercial law and providing independent, practical legal advice to meet strategic objectives.
- Experience in ingredients company or food & beverage industry is preferred.
- Familiarity with food regulatory law is a plus.
- Experience with cross-border transactions.
- Litigation or dispute-management experience involving commercial matters.
- Excellent written and verbal communications skills.
