What You'll Do
- Provides expert legal advice and counsel to the corporation on a wide range of business, regulatory, and compliance matters.
- Identifies legal risks and offers strategic solutions.
- Drafts, reviews, and negotiates contracts and agreements and ensures adherence to applicable laws and regulations.
- Serves as a point of contact for all corporate departments through all phases of commercial agreements and contracts including MSAs, SOWs, vendor and agency agreements, SaaS and software licensing contracts, DPAs, SLAs and amendments.
- Identifies, analyzes, and mitigates potential risks involved with specific contract terms and proposed transactions.
- Analyzes and interprets documents, actions, statutes, decisions, and ordinances affecting, or potentially affecting, the Company, and advises stakeholders on legal issues impacting their areas of responsibility.
- Drafts and revises Company policies.
- Provides litigation and claims management support and assists in resolving legal disputes and conflicts.
- Manages external counsel, reviews monthly legal invoices, forecasts expenses, and maintains monthly expense reporting.
- Advises on privacy and data protection matters; including oversight of data collection and use, privacy disclosures, data subject requests, and data security compliance and governance.
- Leads and maintains the Company's cybersecurity and privacy incident response governance and procedures.
- Provides legal support on the use of artificial intelligence (AI), and related intellectual property considerations.
Qualifications And Requirements
- Juris Doctor (J.D.) with outstanding academic performance. Minimum 5 years of relevant legal experience drafting and negotiating contracts; a combination of in-house and law firm experience preferred.
- Admission to practice law in Tennessee.
- Strong understanding of contracts, commercial law and data security requirements.
- Highly skilled in analyzing, negotiating, and drafting legal documents.
- Outstanding communication skills, both written and verbal, including the ability to relay legal concepts, policies, documents in a manner easily understood by non-lawyers.
- Excellent interpersonal and problem-solving skills and ability to work collaboratively across various teams and departments and maintain strong relationships at all levels of the organization.
- Litigation experience helpful.
- Exceptional proficiency with Microsoft Office and related business software.
