We are a mission-oriented accessibility technology company looking for an experienced Senior Corporate Counsel to join our team and take on the commercial and corporate legal work that powers a fast-growing startup. You'll lead our commercial contracting — vendor agreements, marketing partnerships, licensing, and service arrangements — that shape how we operate and grow. You'll also partner closely with our VP of Regulatory Affairs on data privacy matters and to ensure our commercial contracts fit within our regulatory compliance requirements. You will report to our VP of Regulatory Affairs and work closely with cross-functional leaders across product, finance, and marketing. Given the size of our legal function, you'll own meaningful subject areas end to end and have real visibility into how the business is built and run. The ideal candidate will have a minimum of 7 years of combined experience between a reputable law firm and in-house legal departments, preferably within the software and technology sectors. This position is based in our Irvine, California office with a hybrid work arrangement (in-office Monday, Tuesday, and Thursday). Remote applicants will not be considered. Responsibilities Commercial Contract Negotiations: Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, non-disclosure agreements, service contracts, and licensing agreements, ensuring alignment with company policies and legal standards.Marketing Agreements: Evaluate and provide legal counsel on marketing-related contracts and initiatives, ensuring compliance with advertising laws and intellectual property rights.Strategic Partnerships: Collaborate with business teams to structure, negotiate, and formalize strategic partnership agreements that align with company objectives and legal requirements.Corporate Governance: Advise on general corporate legal matters, including corporate governance, compliance, and risk management, ensuring adherence to applicable laws and regulations.Data Privacy and Security Compliance: Monitor and interpret data privacy and security laws, such as the California Consumer Privacy Act (CCPA), and implement necessary policies and procedures to ensure ongoing compliance. Assess security standards and policies of external vendors to ensure compliance with InnoCaption requirements and regulations.External Counsel Coordination: Manage external law firm relationships and workflows.Team Mentorship: Train and mentor our Legal Associate, reviewing work products to ensure quality and consistency while supporting their professional growth, and train other department team members on legal matters. RequirementsJ.D. from an accredited law school and active membership in at least one state bar and registered to practice in California (or willing to become registered)7+ years of combined experience in a law firm and/or in-house legal departmentStrong experience in commercial contract law and deep knowledge of corporate governance and privacy lawsDeveloped business acumen, with ability to understand the company's business model and anticipate the nature and magnitude of issues that could arise in various settings.Ability to research, analyze, and provide counsel on various regulatory and compliance mattersComfortable using AI tools for legal research, drafting assistance, and workflow productivityTeam player with strong work ethic and high degree of personal responsibilityExcellent verbal and written communication skills, with the ability to clearly convey complex legal concepts to non-legal stakeholdersMust have valid US work authorization BenefitsBe part of a mission-driven team, making an impact in people's livesCompetitive compensation with performance bonusesComprehensive health, dental and vision plan401k retirement savings plan with up to 6% employer match CompensationThe base salary range for this position is $170,000 – $190,000 per year.
