About the role
Goodspeed Merrill is a fast-growing, entrepreneurial law firm focused on supporting business owners, entrepreneurs, and investors. We are seeking a Senior Corporate Attorney to join our Corporate Law practice.
Responsibilities
- Serve as a trusted advisor to business clients on a wide range of corporate and transactional matters
- Structure, negotiate, and draft agreements related to business formation, governance, and operations
- Draft and review corporate documents including operating agreements, shareholder agreements, buy-sell agreements, and partnership agreements
- Advise clients on mergers and acquisitions, corporate restructuring, and strategic transactions
- Provide legal counsel on corporate compliance, risk management, and governance matters
- Advises clients on the negotiation and documentation of commercial transactions and contractual relationships, identifying legal risks and developing practical solutions to support business growth and operational objectives
- Work collaboratively with partners and other attorneys on complex transactions and client matters
- Develop and maintain strong relationships with existing clients while assisting in business development initiatives
- Mentor and support junior attorneys and legal staff when appropriate
Requirements
- 6+ years of corporate law experience, preferably in a law firm environment
- Juris Doctor (JD) from an accredited law school
- Licensed and in good standing with the State Bar of Colorado or State Bar of Texas
- Strong experience in business transactions, entity structuring, and contract negotiation
- Excellent analytical, drafting, and communication skills
- Able to manage multiple matters while maintaining strong attention to detail
- A client-focused mindset with the ability to deliver practical legal solutions

Benefits
- Salary Range: $147,000 - $155,000 (commensurate with experience)
- Total Compensation potential: $145,000 - $232,000
- Quarterly Bonus Potential - from 3% to 16% of total realized revenue with no billable hour requirements

Pay
- Salary Range: $147,000 - $155,000 (commensurate with experience)
