Senior Consultant, National Federal Tax Services - Transaction Readiness & Restructuring (TRR)
About the role
You will join Deloitte's National Federal Tax Services (NFTS) team within the Transaction & Integration Services (T&IS) practice, specifically the Transaction Readiness and Restructuring (TRR) subgroup. This team advises businesses and investors on tax matters related to integrations, divestitures, joint ventures, bankruptcy emergence, public equity offerings, and legal entity realignment. The TRR subgroup focuses on delivering tax consulting and compliance services for large mergers, acquisitions, divestitures, and restructuring transactions, often collaborating with Deloitte Consulting in an Integrated Service Offering format.
Responsibilities
- Analyze complex tax issues by reviewing financial statements, regulatory filings, transactional documentation, client correspondence, and tax returns.
- Evaluate income and indirect tax implications of proposed integrations, divestitures, and business transformational transactions.
- Conduct complex tax research and formulate tax-planning strategies.
- Perform tax department assessments and document action items.
- Expand tax research skills on technical tax and operational issues, including taxation of corporations and pass-throughs, tax accounting methods, tax operations, and indirect taxation schemes in the U.S. and abroad.
- Supervise assignments for tax professionals at the Consultant level, focusing on project management, organization, and communication.
- Demonstrate sound judgment in evaluating complex scenarios while supervising and developing team members.
- Collaborate with clients and cross-functional teams to capture meeting notes, decisions, and action items, ensuring high-quality transaction-related deliverables.
- Assist clients with tax matters arising from transactions (e.g., transaction costs, attribute limitations), departmental operations (e.g., tax department assimilation, tax ops stand-up), and synergy capture (e.g., Day 1 Readiness integration, legal entity rationalization).
- Provide stock basis and Earnings & Profit (E&P) analysis for restructuring, acquisitions, spin transactions, worthless securities deductions, and debt restructuring.
Qualifications
- Bachelor's degree in Accounting, Business, Finance, or JD.
- 2+ years of experience in core federal tax compliance, including federal and/or international tax.
- Experience in tax compliance and accounting for income tax, with a broad understanding of U.S. income tax principles.
- Knowledge of ASC 740, tax accounting, and basic multi-state and international tax principles.
- Ability to travel 25%, on average, based on client and industry needs.
- One of the following active accreditations (obtained, in process, or willing to obtain):
- Licensed CPA in state of practice/primary office (if eligible to sit for the CPA).
- Licensed attorney (if not CPA eligible).
- Enrolled Agent.
- Project Management Professional (PMP).
- Chartered Financial Advisor (CFA).
- Ability to work within a hybrid model, co-locating in person 2-3 days per week.
- Limited immigration sponsorship may be available.
Preferred Qualifications
- Previous Big 4 experience or equivalent.
- Advanced degree such as MST, MAcc, or LLM.
- Experience in corporate tax issues related to business combinations and divestitures, including taxation of corporations, partnerships, and shareholders.
- Self-starter with demonstrated ability to handle multiple, competing priorities.
- Strong verbal and written communication skills.
- Highly disciplined with the ability to work under strict deadlines in a fast-paced, collegial environment.
Pay
A reasonable estimate of the current range for this role is $78,675 to $160,750. The wage range considers factors such as skill sets, experience, training, licensure, certifications, and business needs. Compensation decisions depend on individual circumstances, and eligibility for a discretionary annual incentive program may apply, subject to program rules and performance factors.
