Requirements

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in relevant jurisdiction, in good standing
  • 3-8 years of substantive experience in private equity and M&A transactions
  • Strong preference for private equity sponsor-side experience; candidates with primarily M&A experience may be considered if private equity exposure is more limited
  • Familiarity with complex deal structures, including platform M&A deals, varied portfolio company matters, and negotiated transaction terms
  • Large law firm experience strongly preferred
  • Excellent drafting skills, sound commercial judgment, and the ability to thrive in a performance-driven team environment
  • Experience serving as a key member of deal teams, with responsibility for managing significant aspects of transactions from due diligence through closing
  • Demonstrated ability to manage complex workflows, balance competing priorities, and work effectively in fast-paced deal environments

Responsibilities

  • Represent private equity sponsors, institutional investors, and portfolio companies across the full investment life cycle
  • Advising on fund investments, platform acquisitions, add-on acquisitions, and exit transactions
  • Draft and negotiate purchase agreements, merger agreements, equity documentation, and ancillary deal materials
  • Aiding portfolio companies with add-on acquisitions, joint ventures, and public and private financings
  • Collaborating with cross-functional teams across tax, finance, and regulatory practices to deliver seamless, business-focused solutions
  • Conducting due diligence and overseeing process management across all phases of a deal
  • Coordinating with subject-matter experts across disciplines to address transaction-related issues
  • Supporting senior attorneys and clients in structuring, negotiating, and executing strategic transactions
  • Maintaining and strengthening client relationships through responsive and solution-oriented service
