Key Responsibilities
- Advise clients on mergers, acquisitions, divestitures, and strategic corporate transactions.
- Represent private equity sponsors, portfolio companies, and corporate clients in a variety of transactional matters.
- Draft, review, and negotiate purchase agreements, investment documents, governance materials, and related transaction documents.
- Conduct and manage due diligence processes.
- Cook up transaction teams and support deal execution through closing.
- Provide guidance on general corporate governance and business matters.
Qualifications
- JD required.
- Previous experience working in a law firm is required.
- 4–5 years of experience in mergers and acquisitions, private equity, and general corporate law.
- Strong drafting, negotiation, and analytical skills.
- Excellent written and verbal communication abilities.
- Outstanding academic credentials.
- Experience gained at an Am Law 100 firm or a comparable sophisticated corporate practice is highly desirable.
- Ability to thrive in a team-oriented and collaborative environment.
- Strong attention to detail and sound commercial judgment.
