M&A / Private Equity Associate Attorney (4th–5th Year Associate)

Key Responsibilities

  • Advise clients on mergers, acquisitions, divestitures, and strategic corporate transactions.
  • Represent private equity sponsors, portfolio companies, and corporate clients in a variety of transactional matters.
  • Draft, review, and negotiate purchase agreements, investment documents, governance materials, and related transaction documents.
  • Conduct and manage due diligence processes.
  • Cook up transaction teams and support deal execution through closing.
  • Provide guidance on general corporate governance and business matters.

Qualifications

  • JD required.
  • Previous experience working in a law firm is required.
  • 4–5 years of experience in mergers and acquisitions, private equity, and general corporate law.
  • Strong drafting, negotiation, and analytical skills.
  • Excellent written and verbal communication abilities.
  • Outstanding academic credentials.
  • Experience gained at an Am Law 100 firm or a comparable sophisticated corporate practice is highly desirable.
  • Ability to thrive in a team-oriented and collaborative environment.
  • Strong attention to detail and sound commercial judgment.
