M&A Associate Attorney – Private Equity

About the role

This opportunity is particularly suited to attorneys with experience at top-tier US law firms and a strong background in M&A, corporate transactions, private equity, and complex deal analysis.

Responsibilities

  • Analyze and evaluate complex M&A transactions, contracts, and legal scenarios.
  • Conduct legal research across M&A, corporate law, private equity, and related litigation matters.
  • Review deal structures, due diligence materials, contracts, and potential legal risks.
  • Provide high-quality legal analysis and subject-matter feedback for AI training.
  • Review AI-generated legal content for accuracy, completeness, and legal reasoning.
  • Draft, edit, and clarify complex legal concepts and transactional analysis.
  • Participate in quality assurance and structured legal review processes.
  • Collaborate with legal and technical professionals in a fully remote, multidisciplinary environment.
  • Apply industry best practices to improve project quality and deliverables.

Requirements

  • US-qualified attorney with active US Bar membership.
  • Recent M&A and corporate transactional experience.
  • Experience with M&A deal structuring, due diligence, and risk assessment.
  • Strong corporate law and private equity experience.
  • Experience reviewing and analyzing complex legal documents and transactions.
  • Strong legal research and writing skills.
  • Excellent attention to detail and analytical ability.
  • Ability to collaborate effectively in a remote, multidisciplinary environment.

Preferred Qualifications

  • Experience at a top-tier US law firm / BigLaw firm.
  • Experience handling sophisticated private equity transactions.
  • Experience with related M&A litigation or disputes.
  • Legal content review or quality assurance experience.
  • Experience developing or using evaluation frameworks, scoring criteria, or legal review rubrics.
  • Legal technology or AI experience is a plus, but not required.
