Paralegal - Transactional/Corporate/Real Estate

About the role
CHW is seeking an experienced Paralegal interested in sophisticated, mission-driven transactional real estate work. You'll support our attorneys in the representation of developers, investors, lenders, syndicators, and nonprofit organizations in the acquisition, financing, development, and preservation of multi-family affordable and mixed use residential, commercial, and historic preservation real estate projects.
Responsibilities
- Prepare and revise entity formation and governance documents, including operating agreements, limited partnership agreements, formation certificates, incumbency certificates, written consents, resolutions, amendments, and other corporate documents.
- Perform due diligence, manage closing checklists, and work with CHW colleagues, clients and financing parties throughout all phases of the lifecycle of a transaction.
- Coordinate closing mechanics and oversee signature page execution and delivery, assembly of final closing documents and exhibits, and closing transcript preparation.
- Review title commitments and property surveys, coordinate and prepare responses to title and survey comments from counterparties, and work with title companies to finalize title policies for transactions.
- Communicate clearly and professionally with clients, lenders' counsel, agencies' counsel, title companies and other parties.
Requirements
- 3+ years of paralegal experience in a law office or legal environment in general corporate law, commercial real estate and/or transactional finance.
- Strong document drafting, editing and proofreading abilities.
- Proficiency with Microsoft Office products and Adobe Acrobat required; familiarity with iManage and/or Litera is a plus.
- Keen attention to detail and a commitment to accuracy and high-quality work product.
- Ability to manage multiple files simultaneously, meet deadlines and thrive in a collaborative fast-paced environment.
- Excellent communication and relationship-building skills.
- College degree and/or paralegal certificate.

Pay
$70K–$90K, commensurate with experience
