About the role

The Paralegal - Corporate performs a range of substantive case, matter, or entity-related duties under attorney supervision. Responsibilities include preparing drafts of legal documents, compiling and analyzing information, and coordinating efforts between attorneys, clients, and vendors.

Responsibilities

  • Performs and maintains capitalization tables, stock, and options ledgers.
  • Direct experience with Carta, Pulley, and other related software.
  • Direct experience with SEC EDGAR Next.
  • Organizes, prepares, and files corporate legal documents for transactions (Articles of Incorporation/Organization, Amendments, state qualifications, consents, merger documents, closing books, electronic closing sets, initial drafts of certificates, short-form closing deliverables, and filing annual reports).
  • Assists with formation of entities such as Corporations, LLCs, and 501(c)(3).
  • Prepares documents for transactions such as closing statements.
  • Prepares UCC searches and filings.
  • Organizes documents and closing books for corporate transactions like acquisitions and mergers.
  • Prepares and files annual reports in states where corporations are incorporated or qualified to do business.
  • Assists with basic private company transfer agent functions, including stock issuance, stock transfers, stock option grants, and maintenance of stock option plan records in corporate maintenance software.
  • Assists with due diligence.
  • Prepares closing volumes, including index, document assembly, binding, and final distribution.
  • Prepares draft documentation for filings with Secretary of State, Department of Corporations, and other state or federal agencies.
  • Develops, monitors, and updates closing checklists.
  • Performs Blue Sky research and filings.
  • Maintains minute books (hard copy and electronic).
  • Prepares drafts and files S-8 Registration Statements and Section 16 filings.
  • Manages data rooms and matter files.
  • Other duties as assigned.

Skills

  • Strong skills in Microsoft Word, Excel, and Outlook.
  • Experience with legal software such as Relativity, LexisNexis, Westlaw, or similar applications.
  • Excellent verbal, written, and interpersonal skills for daily interaction with staff, paralegals, attorneys, and clients.
  • Strong organizational skills and attention to detail to handle large volumes of work.
  • Ability to work effectively in a fast-paced environment.
  • Must be able to assist attorneys both in your home office and across the firm.

Qualifications

  • Minimum: High School diploma or GED.
  • Preferred: Bachelor’s Degree and/or a Paralegal certificate.
  • Minimum 1 year of paralegal experience for individuals with a bachelor’s degree and/or paralegal certificate. Individuals without a degree or certification require five years of legal support experience in the specific practice area.

Physical Demands

Sedentary work: Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull, or otherwise move objects, including the human body. Sedentary work involves sitting most of the time.

Schedule

This position is located in our San Diego office and offers a hybrid work schedule.

Pay

The firm’s expected hiring range for this position is $47.68 - $63.18 per hour, depending on the candidate’s geographic market location. Non-exempt positions will be paid on an hourly basis and include overtime in accordance with applicable laws. Compensation will also depend on the candidate’s experience, skills, educational and professional background, and overall qualifications.
