New York - Corporate Private Equity/M&A Associate (Mid-Level)
Reed Smith’s New York office is seeking a Mid-Level Associate to join its Global Corporate Group and private equity practice.
About the role
Candidates should have four to six years of meaningful M&A and transactional experience representing private equity sponsors, institutional investors, family offices, alternative asset managers, and their portfolio companies in leveraged buyouts, add-on acquisitions, divestitures, growth investments, strategic joint ventures, and other corporate and portfolio company matters.
The ideal candidate will have significant hands-on experience drafting and negotiating acquisition agreements, equity and investment agreements, and other transaction documents in connection with sophisticated M&A and private equity transactions. Candidates should have experience serving as a key member of deal teams, with responsibility for producing client-ready transaction documents, coordinating and managing due diligence and other workstreams, and taking ownership of key aspects of transactions from initial structuring and negotiation through signing and closing.
We are interested in candidates who have experience with middle-market private equity transactions and are comfortable working directly with clients, opposing counsel, and other transaction participants.
Requirements
- Active member of the New York State Bar
- Four to six years of M&A and transactional experience
- Experience representing private equity sponsors, institutional investors, family offices, alternative asset managers, and portfolio companies
- Hands-on experience drafting and negotiating acquisition agreements, equity and investment agreements, and other transaction documents
- Experience serving as a key member of deal teams, managing due diligence, and overseeing transactions from structuring through closing
- Experience with middle-market private equity transactions

Pay
$235,000 - $365,000. This represents the presently anticipated low and high end of Reed Smith’s pay range for this position. Actual pay may vary based on various factors, including but not limited to location and experience.
