The Role
The successful candidate will work across the formation, operation, and ongoing counseling of private investment funds, handling sophisticated matters that combine fund structuring, corporate law, and securities regulation.
Responsibilities
- Structuring and forming venture capital and private equity funds
- Advising fund sponsors and managers throughout the lifecycle of their funds
- Drafting and negotiating fund formation and governance documentation
- Counseling clients on applicable corporate and securities regulations
- Advising venture studios, incubators, accelerators, and other innovative investment platforms
- Supporting sophisticated and evolving investment structures, including crypto-related funds
- Taking meaningful responsibility for client relationships and complex transactional matters
Candidate Profile
- 4–8 years of relevant corporate experience
- Extensive experience with VC and/or PE private investment fund formation and counseling
- Strong knowledge of relevant corporate and securities laws and regulations
- Excellent drafting, analytical, negotiation, and client-facing skills
- The ability to manage sophisticated matters with increasing independence
- Strong academic credentials
- JD
- Previous experience working in a law firm
- Admission to the applicable state bar, or eligibility to sit for or waive into the relevant jurisdiction
