About the role

Bryan Cave Leighton Paisner LLP (BCLP) is seeking a highly motivated mid-level associate through counsel to join our nationally recognized Tax practice with a focus on renewable energy transactions and federal tax credit monetization structures.

Responsibilities

  • Advising clients on the federal income tax aspects of renewable energy transactions, including ITC/PTC qualification, structuring, and compliance.
  • Counseling sponsors, investors, and lenders on tax credit transferability, direct pay, and credit monetization strategies.
  • Analyzing and applying complex provisions of the Internal Revenue Code and Treasury Regulations, including those related to Sections 45Y, 48E, 45X, 45Z, and related provisions.
  • Drafting and negotiating transaction documents, including:
    • Build Transfer Agreements
    • EPC/BOP Agreements
    • Equipment Supply Agreements
    • Tax Credit Purchase Agreements
    • Partnership and LLC Agreements
    • Tax equity investment agreements
  • Advising tax equity investors and project development lenders on the state and local taxes applicable to renewable energy projects.
  • Advising on M&A transactions.

Requirements

  • JD from an accredited law school and strong academic credentials.
  • 5+ years of relevant tax experience at a law firm.
  • Demonstrated experience with renewable energy tax credits in the project development/operation context, tax credit transfers, and similar complex transactional tax matters.
  • Familiarity with ITCs/PTCs (including the applicable Code provisions and current IRS guidance).
  • Experience drafting and negotiating transaction documents in a deal setting.
  • Strong analytical and technical tax expertise.
  • Excellent drafting, negotiation, and communication skills.
  • Able to manage multiple transactions and work effectively under deadlines.
  • Collaborative mindset and strong client-service orientation.
  • Admission to practice law in the jurisdiction of the office of residence (or eligibility to waive in).

Pay

At the time of posting, the estimated range is $215,000 to $310,000. Actual compensation will be influenced by various factors, including but not limited to the level of relevant experience, skill sets, training, licensure and certifications, internal equity, market data, and other job-related factors permitted by law.
