Mid-Level Associate Attorney – Finance

The Opportunity

You will work on a wide range of commercial lending and specialty finance transactions, including structures tailored to private investment managers and funds. The practice regularly advises on complex financing facilities that support private equity platforms, asset managers, and other financial market participants.

Associates in this team play a meaningful role in documenting and negotiating sophisticated financings while collaborating with colleagues across multiple practice groups and jurisdictions.

Key Responsibilities

• Structure and negotiate commercial lending transactions, including secured and unsecured credit facilities
• Advise clients on asset-based lending (ABL) and cash flow lending structures
• Assist with NAV-based financings and subscription line facilities for private investment funds
• Work on employee co-investment credit facilities and management company lines of credit
• Draft and negotiate key transaction documents including credit agreements, security agreements, and related loan documentation
• Support complex financings involving specialty lending and lender finance structures
• Collaborate with multidisciplinary teams to manage deal execution and closing processes

Ideal Candidate Profile

• 3–5+ years of finance law experience within a sophisticated law firm environment
• JD required and prior experience working in a law firm
• Strong experience drafting and negotiating commercial lending and secured finance transactions
• Familiarity with asset-based lending, cash flow loans, and specialty finance structures
• Experience with NAV-based financings, subscription facilities, or investment manager credit facilities is highly desirable
• Excellent drafting, analytical, and communication skills
• Ability to manage multiple transactions and collaborate effectively within a team-driven environment
