About the role
We are seeking a Mergers & Acquisitions (M&A) Paralegal to work at a premier client, Stanley Black & Decker, in a remote capacity.
Responsibilities
- Reviewing and summarizing commercial agreements, supplier contracts, customer agreements, NDAs, and indirect contracts for assignability and change-of-control provisions.
- Supporting TSA (Transition Services Agreement) contract identification and tracking, while managing supplier consent requests during acquisitions and divestitures.
- Coincating with IT procurement on contract novations, renewals, and vendor communications, and maintaining an inventory of critical third-party technology contracts.
Requirements
- Hold a Bachelor’s degree or Paralegal Certificate.
- Have 5+ years of corporate or M&A paralegal experience.
- Strong knowledge of corporate governance and contract administration.
- Experience supporting mergers, acquisitions, divestitures, or private equity transactions.
- Excellent project management and organizational skills.
