About the role

The Manager, Corporate Finance & Transactions Paralegal plays a crucial role in supporting the Corporate Finance, Corporate Reporting, and Commercial and Affiliate Transactions teams within the Legal Department. This position requires a solid understanding of legal principles, processes, and procedures across various practice areas. The role involves managing multiple deadlines, coordinating with teams, and maintaining high levels of accuracy in documentation.

Responsibilities

  • Assist attorneys in drafting, reviewing, and organizing transactional documents, contracts, and agreements.
  • Aid attorneys through all phases of transactions (from inception to closing and post-closing).
  • Support SEC filings, including preparing 10-Ks, 10-Qs, 8-Ks, prospectuses, registration statements, and other disclosure documents.
  • Manage loan sales, asset-backed securitizations, warehouse facilities, and other finance transactions.
  • Collaborate with cross-functional teams to gather necessary information, track progress, and facilitate project collaboration.
  • Coordinate and manage legal projects, ensuring timely completion and adherence to project objectives.
  • Develop and maintain an efficient system for organizing and managing accurate and audit-ready legal documents, contracts, closing checklists, trackers, and deal documentation sets.
  • Support the tracking of deliverables, deadlines, and dependencies to ensure the timely and efficient execution of transactional documents.
  • Implement and test effective control designs for the teams and the broader Legal Department.
