Responsibilities
- Support both our emerging companies and venture capital (ECVC) and mergers and acquisitions practices.
- Act as liaison with clients and attorneys; respond to client requests for information and/or materials; coordinate with clients on case-related documents.
- Prepare closing documentation, including drafting, organizing, proofreading and assembling documents.
- Prepare mergers and acquisitions documents, venture capital and other financing documents, general corporate documents, including corporate approvals.
- Prepare applications to state and federal regulators.
- Conduct, organize, review and summarize due diligence documents, including preparation of due diligence checklists, coordinating and tracking receipt of due diligence documents and preparation of disclosure schedules and related documents.
- Prepare closing checklists and track closing related items, and performing post-closing follow-up as needed.
- Keep a daily time record accurately describing the work performed and the amount of time expended on various matters for accountability and client billing purposes, and maintain accurate records of hours worked for payroll purposes; track monthly hours and productivity.
Requirements
- Minimum of five years paralegal experience, including work as a corporate paralegal working with ECVC clients, required.
- Four-year college degree and paralegal certificate preferred.
- Must have experience with industry-leading cap table management platforms, including Carta, and intermediate-level skills working with Microsoft Office applications, document management systems, and time-keeping software.
- Must be able to work overtime as needed.

Pay
The salary range for this position is from $80,000 - $130,000, which reflects the Firm's good faith and reasonable estimate of possible compensation at the time of posting. Actual pay will depend on several factors such as the candidate's experience, and qualifications.
