M&A & Energy Transactional Associate Attorney | 3–5 Years | Houston

Responsibilities

  • Advising on mergers, acquisitions, divestitures, joint ventures, private equity investments, platform acquisitions, add-on transactions, and other business combinations.
  • Working on acquisitions and dispositions of energy assets, project development matters, and other strategic transactions involving the energy industry.
  • Drafting and negotiating purchase agreements, ancillary documents, closing materials, and other key transactional instruments.
  • Cooking due diligence and working closely with lawyers across complementary practice areas.

Requirements

  • Significant experience with M&A and other sophisticated corporate transactions.
  • Previous experience working in a law firm, ideally within a sophisticated national or large-law-firm environment.
  • Demonstrated experience drafting and negotiating core transaction documents.
  • Strong writing, analytical, and commercial judgment.
  • Excellent interpersonal and oral communication skills.
  • The ability to work directly with both legal and business teams.
  • Private equity experience is highly attractive.
  • Experience involving power, renewable energy, oil and gas, or other energy transactions is beneficial but not required.
  • An interest in using modern legal technology to improve transaction execution and efficiency.

Qualifications

  • A JD.
  • Admission to the relevant state bar, or eligibility for admission.
