M&A and Corporate Transactions Attorney

About the role

This role will work closely with senior legal department leadership and cross-functional teams to support strategic transactions and ongoing compliance with regulatory requirements.

Responsibilities

• Lead and support M&A transactions, including:

  • drafting and negotiation NDAs
  • conducting due diligence
  • structuring, negotiation, drafting transaction documents
  • driving regulatory clearance process
  • closing of deals
  • advising on post-closing transition services arrangements

• Advised on a wide range of corporate transactions, including joint ventures, strategic partnerships, and other business development initiatives.

• Draft, review, and negotiate a variety of commercial contracts and corporate documents.

• Provide support on public company matters, including SEC reporting and disclosure obligations (e.g., 10-K, 10-Q, 8-K, proxy statements, Section 16 filings) and NYSE listing requirements.

• Oversee the organization and maintenance of subsidiary corporate secretarial matters.

• Collaborate with external counsel as needed on complex transactions or specialized matters.

Requirements

• Juris Doctor (JD) from an accredited law school and active membership in good standing with at least one U.S. state bar.
• 5+ years of relevant legal experience, including significant exposure to M&A (public & private) and corporate transactions.
• Exceptional drafting, negotiation, and analytical skills.
• Ability to manage multiple projects and priorities in a fast-paced environment.
• Excellent interpersonal and communication skills, with the ability to work effectively with business and legal colleagues at all levels.
• Prior experience working with industrial and manufacturing companies preferred.
• In-house experience preferred, not required.
• Prior experience managing outside counsel and cross-functional project teams.
• High ethical standards and sound judgment.
• Detail-oriented with strong organizational skills.
• Proactive, solutions-oriented approach to problem-solving.
• Ability to work independently and as part of a collaborative team.

Qualifications

• Required: Juris Doctor (JD) from an accredited law school and active membership in good standing with at least one U.S. state bar.
• Preferred: In-house experience, prior experience working with industrial and manufacturing companies, prior experience managing outside counsel and cross-functional project teams.

Pay

$134,300.00 - $231,700.00
