M&A and Corporate Transactions Attorney
About the role
The role involves supporting strategic transactions and ongoing compliance with regulatory requirements. Key responsibilities include drafting and negotiating NDAs, conducting due diligence, structuring, negotiating, and drafting transaction documents, driving regulatory clearance processes, closing deals, and advising on post-closing transition services arrangements. Additionally, the attorney advises on a wide range of corporate transactions, drafts and reviews commercial contracts, provides support on public company matters, oversees subsidiary corporate secretarial matters, collaborates with external counsel, and manages cross-functional project teams.
Responsibilities
- Drafting and negotiating NDAs
- Conducting due diligence
- Structuring, negotiating, and drafting transaction documents
- Driving regulatory clearance process
- Closing deals
- Advising on post-closing transition services arrangements
- Advise on a wide range of corporate transactions, including joint ventures, strategic partnerships, and other business development initiatives
- Draft, review, and negotiate a variety of commercial contracts and corporate documents
- Provide support on public company matters, including SEC reporting and disclosure obligations (e.g., 10-K, 10-Q, 8-K, proxy statements, Section 16 filings) and NYSE listing requirements
- Oversee the organization and maintenance of subsidiary corporate secretarial matters
- Collaborate with external counsel as needed on complex transactions or specialized matters
Requirements
You must have:
- A Juris Doctor (JD) from an accredited law school and active membership in good standing with at least one U.S. state bar
- 5+ years of relevant legal experience, including significant exposure to M&A (public & private) and corporate transactions
- Exceptional drafting, negotiation, and analytical skills
- Ability to manage multiple projects and priorities in a fast-paced environment
- Excellent interpersonal and communication skills, with the ability to work effectively with business and legal colleagues at all levels
- Prior experience working with industrial and manufacturing companies preferred
- In-house experience preferred, not required
- Prior experience managing outside counsel and cross-functional project teams
- High ethical standards and sound judgment
- Detail-oriented with strong organizational skills
- Proactive, solutions-oriented approach to problem-solving
- Ability to work independently and as part of a collaborative team
