Essential Duties And Responsibilities
- Handle administrative tasks such as copying, emailing, scheduling, file organization, and time entry.
- Prioritize and execute tasks assigned by attorneys while maintaining excellent organization and attention to detail.
- Serve as the primary point of contact for deal teams; collect, organize, and monitor deal documents, calendars, and milestones.
- Manage data room setup, access control, and secure handling of confidential information.
- Cook up data requests across internal, client and opposing counsel teams; track status and ensure timely responses.
- Prepare, coordinate and circulate signature packages; maintain execution records and centralized repositories.
- Track approvals, consents, and post-signing obligations.
- Maintain closing checklists relevant to each deal.
- Compile closing binders and post-closing integration checklists.
- Proficient with document management systems (DMS), data rooms, e-signature platforms, and project management tools.
- Familiar with standard templates, playbooks, and escalation procedures as needed.
- Review vendor invoices, prepare check requests, and coordinate timely submission to billing or clients.
- Create template documents for attorneys to streamline drafting and filing.
- Proofread and edit all documents for accuracy, completeness, and compliance prior to distribution or filing.
- Maintain and update client files in a timely and organized manner.
- Perform other duties as requested by the Office Administrator.
Knowledge, Skills, And Abilities
- Demonstrated experience coordinating due diligence and contract lifecycle activities.
- Strong organizational skills, attention to detail, and ability to manage multiple deals simultaneously under tight deadlines.
- Excellent written and verbal communication; ability to draft internal memos and deal status updates.
- Interpersonal skills necessary in order to communicate by phone and in person and follow instructions effectively with a diverse group of clients, attorneys and staff and provide information with ordinary courtesy and tact.
Physical Presence In The Office
- Work occasionally requires a high level of mental effort and strain when producing a high volume of information.
- Work occasionally requires more than 40 hours per week to perform the essential duties of the position; may require irregular hours.
Education And Work Experience
- College degree or 5+ years in legal operations, paralegal, or legal support roles with explicit M&A or transactional exposure.
- Preferred Exposure to cross-border or multi-jurisdictional transactions.
- Experience with deal analytics dashboards and reporting.
Preferred Software Experience
- Experience with document management systems (NetDocuments or similar).
- Experience conducting Delaware UCC/VCC searches via authorized searchers to identify liens and related filings, feeding results into closing checklists and risk assessments.
- Familiarity with e-filing platforms for state and federal courts.
- Experience with billing/timekeeping software (e.g., Aderant, iTimeKeep, Prebill Viewer).
- Experience with PDF editing tools (Adobe Acrobat preferred).
- Comfort with case management or docketing systems.
- Knowledge of scanning/imaging software used for file organization.
Working Conditions
- Normal office environment with little exposure to excessive noise, dust, extreme temperatures, and the like.
- Travel and work outside of the office are required.
