About the role

The Legal Ops Manager will provide full legal transactional support for Joint Ventures (JV’s), acquisitions, dispositions, and financings. They will also assist with entity formation, coordinate with lenders' counsel, title companies, and internal stakeholders, and support team administrative and operational needs.

Responsibilities

  • Provide full legal transactional support for JV’s, acquisitions, dispositions, and financings by maintaining transaction checklists and document folders for multi-asset and complex deal processes, track outstanding items ensuring timely follow-through across deal teams and counterparties.
  • Aid in entity formation, including drafting and managing LLC agreements, secretary certificates, and operating agreements.
  • Coordinate with lender’s counsel, title companies, and internal stakeholders to ensure timely transaction execution.
  • Assist in drafting SNDAs, estoppels, confidentiality agreements, organizational documents, resolutions, and consents.
  • Scan, index, and distribute fully executed documents; oversee storage of originals in the Company’s designated safe-deposit box, maintaining an up-to-date inventory of hard-copy originals.
  • Lead organization and maintenance of closing binders and other final transaction documentation, ensuring documents are saved to the correct folders, properly labeled, and easily searchable.
  • Create and maintain searchable NDA clause library.
  • Assist with discrete research projects (e.g., tracking relevant legislative and regulatory developments).
  • Aid in coordination and completion of KYC forms and related requests.
  • Support team expense management, meeting scheduling, and coordination across internal stakeholders and external parties.
  • Maintain and organize internal legal forms, templates, and process documentation; propose improvements to workflows to drive efficiency and consistency.
  • Help the Company assess which entity-management tasks should be performed internally versus by outside counsel, documenting recommendations and evolving processes over time.
  • Manage the legal calendar for insurance and litigation matters, including tracking deadlines, coordinating broker communications, and organizing information and materials for supervising attorneys.
  • Aid in coordinating outstanding legal invoices, including tracking accruals, reconciling invoices, and flagging discrepancies to supervising attorneys.
  • Maintain and update comprehensive organizational charts for the Client and its investment vehicles, ensuring accuracy across funds, joint ventures, and holding companies.
  • Coordinate entity formations, qualifications, and good-standing maintenance (including annual reports and franchise tax filings), working with outside counsel and corporate service providers as appropriate.
  • Oversee accurate filing, naming, and storage of entity and governance documentation in the appropriate Box folders and shared drives, ensuring consistency, version control, and searchability.
  • Manage the relationship with CSC (or comparable registered agent / corporate services provider), including ordering good standings, handling service of process notices, and monitoring entity calendars.
  • Coordinate with Finance & Accounting on W-9s, EINs, and other tax-identification documentation, including coordinating closely with internal stakeholders as needed.
  • Interface with the Client's internal stakeholders on entity-related questions, information requests, and process alignment.

Requirements

  • Minimum 6–8+ years of relevant law-firm or in-house Legal Ops Manager and/or Paralegal experience; candidates with 20+ years of experience who prioritize work-life balance are also encouraged to apply.
  • Bachelor’s degree required.
  • Proficient in MS Word, Excel, Outlook, Box, and DocuSign; experience with corporate service portals (e.g., CSC) a plus.

Key Attributes / Experience

  • Relevant Legal Ops Manager, paralegal, and/or legal operations project management experience, preferably in a transaction-oriented environment; commercial real estate background helpful but not required for the right candidate.
  • Excellent attention to detail – accuracy is critical to success.
  • Strong organizational skills; able to meet deadlines, set priorities and track deadlines independently and with minimal direction.
  • Strong verbal and written communication skills.
