Responsibilities
- Coordinate and track active mergers and acquisitions transactions across multiple client matters, maintaining detailed status updates regarding deal milestones, deliverables, and key deadlines
- Prepare, process, and manage transaction-related documentation, including Management Incentive Unit (MIU) agreements and related equity materials
- Serve as a central point of contact for internal and external deal teams regarding scheduling, document flow, and administrative logistics throughout the transaction lifecycle
- Organize, maintain, and manage corporate records, governance documents, and entity files across a portfolio of sponsor-backed companies
- Track and coordinate recurring corporate governance obligations, including board resolutions, annual filings, officer appointments, and organizational updates
- Maintain and update corporate organizational charts and entity hierarchies in connection with acquisitions, restructurings, and divestitures
- Review, analyze, and process outside counsel invoices and vendor billing, identifying discrepancies and ensuring compliance with engagement terms and client billing guidelines
- Aid in the preparation and tracking of engagement letters, fee arrangements, and matter budgets across active client relationships
- Support day-to-day coordination for key private equity sponsor clients and related portfolio company matters
- Develop and maintain tracking systems for portfolio company matters, including post-closing obligations, integration items, compliance deadlines, and recurring requests
- Coordinate with portfolio company management teams, clients, outside advisors, and internal stakeholders regarding ongoing administrative and documentary matters
- Build and refine standardized workflows, templates, checklists, and administrative processes related to transactions and corporate governance matters
- Maintain organized and accessible deal and matter files, including precedent documents, key agreements, and reference materials
- Identify opportunities to streamline administrative processes and improve operational efficiency within the practice
- Manage complex scheduling, meeting coordination, and travel arrangements
- Draft, proofread, and manage correspondence and other administrative materials
- Cook up and refine standardized workflows, templates, checklists, and administrative processes related to transactions and corporate governance matters
- Coordinate internal and external meetings using Microsoft Teams, Zoom, and related conferencing platforms
- Handle highly confidential and sensitive information with professionalism and discretion
Qualifications
- Associate or bachelor’s degree with significant relevant administrative or legal support experience
- 5+ years of experience in an executive assistant, legal assistant, transactional support, or similar professional support role
- Experience supporting mergers and acquisitions, private equity, corporate transactions, or corporate governance matters strongly preferred
- Exceptional organizational skills with the ability to manage multiple priorities and competing deadlines simultaneously
- Strong attention to detail and ability to manage complex documentation accurately
- Demonstrated ability to anticipate needs, exercise sound judgment, and operate proactively
- Excellent interpersonal, written, and verbal communication skills
- Ability to handle sensitive and confidential information with discretion
- Proficiency in Microsoft Office Suite (Outlook, Word, Excel, and PowerPoint)
- Experience coordinating complex scheduling, meetings, and travel arrangements
- Ability to work collaboratively with attorneys, clients, executives, and external business partners in a high-touch service environment

Pay
The salary range for this position varies by geographical market. In Minneapolis, the estimated starting annual pay range is $84,000 - $96,000/year. The compensation offered will be dependent on the candidate’s experience, skills, education, professional background, overall qualifications, and geographic market location.
Schedule
This position is full-time with a 37.5-hour work week. The role requires being in-office for three days and working from home for two days.
