IT Contract Paralegal, Mergers and Acquisitions

Responsibilities

• Maintain IT related contract templates for the Firm’s various businesses.
• Aid attorneys with drafting, reviewing, and negotiating technology related agreements such as software and data licenses, services, SaaS, confidentiality, trading systems, FIX connectivity, API implementation, hosting, outsourcing, maintenance, consulting, research distribution, and others.
• Support IT-related due diligence in M&A transactions by reviewing, summarizing, and analyzing vendor/customer contracts for transferability, change of control, and IP ownership issues.

Qualifications

• Paralegal Certification and/or Bachelor’s degree.
• If a law school student, completed at least two (2) full years of law school.
• Motivated and detail-oriented self-starter interested in the IT transactional contracts field.
• Demonstrated experience in M&A due diligence and closing processes.
• Superior organizational skills for interacting with internal clients, counsel, and others.
• Follow-up and strong communication skills critical for this role.
• Able to act on detailed instructions, be organized, demonstrate good judgment, and maintain confidentiality.
