Who You Are

  • Have a bachelor’s degree and 2+ years of paralegal experience supporting corporate or M&A matters at a law firm
  • Highly organized with strong attention to detail when managing large volumes of transaction documents
  • Comfortable collaborating with attorneys, clients, and external advisors in a fast-moving deal environment
  • Proficient in Microsoft Office and document management platforms such as iManage
  • Able to manage confidential information and work extended hours when transaction activity requires

What You’ll Do

  • Support attorneys on corporate transactions including mergers, acquisitions, investments, joint ventures, and restructurings
  • Coordinate due diligence by collecting, reviewing, and organizing company records and transaction materials
  • Manage virtual data rooms and maintain structured document indexing for active deals
  • Prepare transaction checklists, corporate documentation, and merger subsidiary formations
  • Compile and review capitalization tables and related equity ownership schedules
  • Coordinate signature collection and distribute executed documents to deal teams
  • Assist with preparation and filing of SEC submissions and other required regulatory or stock exchange notices
  • Maintain communication with opposing counsel and outside advisors during the transaction process
  • Prepare closing binders, maintain transaction records, and assist with post-closing tasks
  • Contribute to internal reporting, transaction libraries, and team operational support

  • Due diligence materials and regulatory filings are completed efficiently and on schedule
  • Signature coordination, document distribution, and closing preparation occur without delays
  • Internal transaction records and reporting remain current and well maintained

$100,000 – 118,000 annually, based on experience
