Responsibilities
- Prepare, review, and help negotiate a broad range of commercial agreements such as supplier arrangements, confidentiality agreements, statements of work, technology contracts, marketing engagements, licensing deals, partnership terms, and master service agreements.
- Partner with international business teams to spot legal and commercial risks, provide practical support on proposed initiatives, and help move transactions through to completion.
- Oversee contract administration activities by coordinating execution, monitoring key dates, maintaining accurate records, and producing status updates and reports.
- Manage and organize agreement data within contract management tools, including Cobblestone or comparable platforms, to support visibility and compliance.
- Review international advertising and promotional materials and assist with trademark clearance efforts and other intellectual property matters tied to brand protection.
- Conduct legal and business research related to global operations, commercial transactions, and regional initiatives to support informed decision-making.
- Work closely with internal clients, external counsel, vendors, and affiliated brand contacts to gather information, resolve issues, and keep projects on schedule.
- Support legal billing processes by assisting with invoice review, submission, and coordination through e-billing workflows.
- Handle multiple concurrent projects independently while maintaining accuracy, responsiveness, and strong attention to deadlines.
Requirements
- At least 3 years of paralegal experience, with a strong preference for background in corporate, commercial, or transactional legal work.
- Demonstrated ability to draft and negotiate commercial contracts with minimal supervision.
- Working knowledge of contract lifecycle or document management systems such as Cobblestone, SharePoint, or similar tools.
- Familiarity with legal e-billing platforms, including tools like Legal Tracker, is preferred.
- Strong analytical thinking, contract drafting ability, and organizational skills.
- Ability to manage a substantial workload, shift between competing priorities, and meet tight turnaround times.
- Excellent written and verbal communication skills, with the ability to collaborate effectively across departments and with external partners.
Qualifications
- A paralegal certificate, bachelor’s degree, or a combination of relevant education and experience is preferred.
