About the role

Haynes and Boone is a large law firm in Dallas, moving to a new 27-story office tower in the Harwood District. The Dallas office handles various practice areas including corporate, litigation, banking/finance, insurance law, healthcare law, labor and employment, estate planning, real estate, bankruptcy, intellectual property, white collar crime, and antitrust. Responsibilities

  • Interact with finance teams and clients to facilitate all aspects of credit facility closings.
  • Draft and review lien filings at state/county levels and review of entity formation and organizational documents.
  • Draft transactional board consents and officer certificates.
  • Conduct due diligence.
  • Prepare Schedules to Credit Agreements, Security Agreements, and Information Certificates.
  • Manage closings deliveries.
  • Prepare and update closing agendas.
  • Conduct UCC and intellectual property lien searches and prepare summary findings.
  • Prepare closing binders.
  • Collect signature pages, when necessary.
  • Aid attorneys with speeches and articles.
  • Attend CLE and courses to expand knowledge of substantive law.
  • Perform other related duties as needed or assigned.

Qualifications

  • Minimum of 3 years experience working as a Paralegal in Finance.
  • Familiarity with effective administrative processes and ability to manage multiple tasks simultaneously.
  • Administrative experience related to the legal services environment.
  • Above-average writing skills and ability to conduct legal research and simplify complex concepts.
  • Paralegal certification from an ABA approved school or bachelor’s degree in a related field.

Physical Demands

  • Moves around the office up to 15% of the time for copying, faxing, filing, etc.
  • Remains stationary for at least 75% of the time.
  • Operates computers and other office productivity machines frequently.
  • Occasionally moves documents or files weighing up to 15 lbs.
  • Requires constant communication and exchange of information with attorneys, clients, and staff.
  • Must inspect and observe information on a computer screen for at least 80% of the time.

Reporting Relationship

The Paralegal reports directly to the Office Administrator and indirectly to assigned attorneys.
