About the role

The Transaction Tax Practice at EY is a dedicated team focusing on the tax aspects of corporate and private equity acquisitions, dispositions, restructurings, and capital market transactions. As a Transaction Tax Manager, you will serve corporate and private capital markets clients undertaking third-party transactions in tax diligence, general transaction advisory, and overall transaction project management.

Responsibilities

  • Apply your knowledge to a wide range of tax areas, devising strategic outcomes to very complex issues, including US domestic and cross-border tax strategies.
  • Manage professional employees or supervise others to deliver complex technical initiatives, with accountability for performance and results.
  • Guide others and interpret internal/external issues to recommend quality solutions.
  • Exercise judgment in selecting methods, techniques, and evaluation criteria for obtaining results.
  • Manage engagement economics and implement resource plans and budgets.
  • Identify and analyze tax risks and opportunities while advising on transactions involving financial instruments.
  • Plan, execute, and integrate transaction strategies for clients.

Requirements

  • Bachelor’s degree required (4-year degree)
  • US CPA or member of US State bar
  • No less than 4 - 6 years relevant experience

  • Experience assisting in the review and analysis of merger agreements and providing opinion letters
  • Experience identifying and analyzing tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition, and restructuring of businesses
  • Experience reviewing, assessing, and advising clients regarding tax computations reflected in their financial models; and assisting clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction
  • Experience in continuous process improvement and identifying innovative solutions through research and analysis
  • Experience guiding others and interpreting internal/external issues to recommend quality solutions
  • Experience meeting performance objectives and metrics set locally (client service, quality and risk management, sales and business growth, solution development and teaming, etc.)
  • Experience exercising judgment in selecting methods, techniques, and evaluation criteria for obtaining results

Pay

Base salary range for this job in all geographic locations in the US is $116,200 to $212,900. The base salary range for New York City Metro Area, Washington State and California (excluding Sacramento) is $139,400 to $242,000. Individual salaries within those ranges are determined through a wide variety of factors including but not limited to education, experience, knowledge, skills and geography.

Schedule

Most people in external, client-serving roles will work together in person 60% of the time over the course of an engagement, project or year.
