About the role

This role will serve as a key legal partner to sales, operations, and leadership teams, with a primary focus on managing commercial, technology, and healthcare-related contracts as well as supporting general corporate transactional work. The attorney will provide practical, business-oriented guidance on agreements such as MSAs, SOWs, and BAAs, while ensuring compliance with applicable healthcare regulations and data privacy requirements. SaaS, AI, and technology contracting experience is highly preferred.

The ideal candidate will have experience in health tech, including HIPAA matters and tech monetization; commercial contracting within the healthcare or technology space; and a strong working knowledge of HIPAA and data privacy considerations involving PHI. This is an excellent opportunity for a mid-level attorney looking to make a move in-house or an in-house attorney looking to grow within this field. Experience with Ironclad CLM and an interest in leveraging technology, including AI tools, to improve legal workflows is highly preferred. Candidates must be able to work a hybrid schedule in the Nashville, TN area.

Responsibilities

  • Draft, review, and negotiate high-volume agreements, including MSAs, SOWs, NDAs, and Business Associate Agreements (BAAs)
  • Provide practical, business-oriented legal guidance on commercial, technology, and healthcare-related contracts
  • Support general corporate transactional work
  • Ensure compliance with healthcare regulations (e.g., HIPAA) and data privacy requirements
  • Collaborate with sales, operations, and leadership teams as a key legal partner

Requirements

  • 5+ years of legal experience, with a strong emphasis on health tech, commercial contracting, tech contracting, and/or corporate transactions in healthcare, technology, or a related regulated industry
  • Demonstrated experience drafting, reviewing, and negotiating high-volume agreements (e.g., MSAs, SOWs, NDAs, BAAs)
  • Working knowledge of healthcare regulatory frameworks, including HIPAA, with a strong understanding of PHI handling, data privacy, and security considerations
  • Familiarity with healthcare revenue cycle, billing, coding, or clearinghouse operations (strongly preferred)
  • Comfort working with or implementing the Ironclad Contract Lifecycle Management system; experience optimizing contract workflows is a plus
  • J.D. from an accredited law school and active bar membership in good standing (Tennessee or ability to waive in preferred)

Qualifications

  • Experience in health tech, including HIPAA matters and tech monetization

  • Experience with SaaS, AI, and technology contracting (highly preferred)

Pay

The salary range is $190,000 to $215,000. This position is also eligible for bonuses. Pay is based on multiple factors, including but not limited to work experience, qualifications, credentials, and location.
