Description About the Position TheFinance Group at Warner Norcross + Judd LLP is growing, and we are seeking an experienced Financial Institutions M&A/Securities Attorney to join our team. We have a strong foundation of talented attorneys serving banks and other financial institutions and are looking to add a senior-level attorney who will contribute to the continued growth of our practice while advising clients on their most significant corporate and strategic matters. This role offers the unique opportunity to assume significant client relationships and help lead the continued growth of Warner's Finance practice. About The Opportunity We are seeking a senior attorney with substantial experience representing banks, bank holding companies, and other financial institutions in complex corporate transactions. Responsibilities include: advising clients on mergers and acquisitions, securities offerings and regulation, corporate governance, SEC reporting obligations, and general corporate and banking issues. The ideal candidate will serve as a trusted advisor to clients while collaborating with attorneys across Warner's Business and Finance practices. About You J.D. from an accredited law school and admission in good standing to at least one U.S. jurisdiction 10+ years of experience representing banks, financial institutions, or public and private companies in sophisticated corporate transactions Significant experience with financial institution M&A, securities offerings and regulation ('33 Act and '34 Act), SEC reporting, corporate governance, and general corporate matters Experience advising boards of directors, executive leadership, and management teams on strategic and governance matters Demonstrated ability to manage complex transactions, build lasting client relationships, and collaborate effectively with colleagues Excellent communication, responsiveness, and client service skills About Warner By providing discerning and proactive legal advice, Warner Norcross + Judd builds a better partnership with its clients.
