Core Responsibilities
- Own discrete workstreams within larger transactions (due diligence, drafting/reviewing transaction documents, closing mechanics, disclosure schedules, etc.)
- Interface directly with clients on select matters under partner supervision
- Coordinate across internal teams (tax, employment, IP) as deals require
- Work with minimal oversight on routine tasks while escalating judgment calls appropriately
Ideal Candidate Profile
- 2–5 years at a firm with a genuine corporate/M&A practice (not a generalist background)
- Big-law or strong regional-firm pedigree preferred
- Demonstrated deal reps: has run diligence, drafted definitive agreements, managed closing checklists
- Strong time management — this group runs lean and associates juggle multiple live deals simultaneously
- Client-facing polish; some clients are sophisticated repeat players who expect responsiveness
- Culture fit: collegial, low-ego, receptive to mentorship from senior partners
Notes For Recruiting/Interview Team
- Emphasize mentorship and deal exposure as differentiators when recruiting against larger firms — comp may not always win head-to-head
- Client base spans national and international matters, so prior exposure to cross-border or multi-jurisdictional deals is a plus but not required
- Assess organizational rigor in interviews (ask for specific examples of managing competing deal deadlines)
- Confirm bar admission status/timeline early in process
