Key Responsibilities

  • Drafting and negotiating acquisition agreements and the full suite of M&A and private equity transaction documents
  • Serving as a trusted advisor to private equity sponsors and portfolio companies across the investment lifecycle
  • Advising on corporate governance and transaction structuring matters
  • Managing deal execution and coordinating internal and external stakeholders
  • Serving as a senior resource to junior attorneys and deal teams

Qualifications

  • JD required
  • 5–7 years of prior experience at a law firm, preferably at a large national or international platform
  • Significant experience with M&A and private equity transactions, including middle-market deals
  • Strong drafting and negotiation skills with a deep understanding of transaction documentation
  • Excellent interpersonal skills, sound business judgment, and the ability to manage client relationships effectively
  • Bar admission or eligibility for admission in the relevant jurisdiction
  • Willingness to work in-office on a regular basis as part of a collaborative team environment
