Key Responsibilities
- Drafting and negotiating acquisition agreements and the full suite of M&A and private equity transaction documents
- Serving as a trusted advisor to private equity sponsors and portfolio companies across the investment lifecycle
- Advising on corporate governance and transaction structuring matters
- Managing deal execution and coordinating internal and external stakeholders
- Serving as a senior resource to junior attorneys and deal teams
Qualifications
- JD required
- 5–7 years of prior experience at a law firm, preferably at a large national or international platform
- Significant experience with M&A and private equity transactions, including middle-market deals
- Strong drafting and negotiation skills with a deep understanding of transaction documentation
- Excellent interpersonal skills, sound business judgment, and the ability to manage client relationships effectively
- Bar admission or eligibility for admission in the relevant jurisdiction
- Willingness to work in-office on a regular basis as part of a collaborative team environment
