Qualifications
- Juris Doctor
- Attorney must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based.
- Strong analytical and writing skills
- A willingness to positively contribute to an exceptionally collaborative work environment
Requirements
- Three to six years of post-JD experience
- Experience in the following areas:
- Executive compensation and equity incentive arrangements in connection with public and private M&A transactions, spin offs, and other corporate transactions
- Design, drafting, and administration of equity incentive plans, time- and performance-based vesting award agreements, and executive employment, severance, and change in control agreements
- Advising on Sections 83, 421-424, 409A, 280G, 162(m), and related Code provisions
- Day to day, and transactional-specific, advice on tax qualified and nonqualified retirement plans, welfare plans, and related compliance matters, as applicable
- Client interaction and coordination with corporate, tax, and securities teams
