Key Responsibilities

  • Advises on executive compensation and employee benefits matters in connection with mergers and acquisitions, financings, and restructurings.
  • Handles equity and incentive compensation arrangements, severance and change-in-control issues, and management rollovers.
  • Advises on securities law aspects of executive compensation, including public company disclosure and compliance matters.
  • Supports compensation and governance issues arising in bankruptcy and restructuring contexts.
  • Works closely with corporate, restructuring, tax, and securities teams on integrated transactions.

Who You Are

  • 2–3 years of experience in executive compensation and employee benefits at a comparable law firm.
  • Experience supporting corporate transactions and financial restructurings.
  • Familiarity with securities disclosure and governance aspects of executive compensation is strongly preferred.
  • Strong academic credentials with excellent drafting and analytical skills.
  • Commercial, detail-oriented, and comfortable working in a fast-paced, deal-driven environment.

Compensation

  • Salary Range: $225,000 – $415,000 DOE
  • Benefits: Comprehensive health, retirement, and firm benefits package
