Key Responsibilities
- Advises on executive compensation and employee benefits matters in connection with mergers and acquisitions, financings, and restructurings.
- Handles equity and incentive compensation arrangements, severance and change-in-control issues, and management rollovers.
- Advises on securities law aspects of executive compensation, including public company disclosure and compliance matters.
- Supports compensation and governance issues arising in bankruptcy and restructuring contexts.
- Works closely with corporate, restructuring, tax, and securities teams on integrated transactions.
Who You Are
- 2–3 years of experience in executive compensation and employee benefits at a comparable law firm.
- Experience supporting corporate transactions and financial restructurings.
- Familiarity with securities disclosure and governance aspects of executive compensation is strongly preferred.
- Strong academic credentials with excellent drafting and analytical skills.
- Commercial, detail-oriented, and comfortable working in a fast-paced, deal-driven environment.
Compensation
- Salary Range: $225,000 – $415,000 DOE
- Benefits: Comprehensive health, retirement, and firm benefits package
