Job Responsibilities
- Equity Administration, Governance, & Program Leadership
- Lead the end-to-end administration of the Company’s equity compensation programs across the U.S. & UK, including RSU, PSU, and RSA grants, vesting, releases, forfeitures, cancellations, and terminations.
- Oversee executive and director equity administration, including grant processing, vesting events, and coordination with Legal, brokers, and the transfer agent.
- Analyze performance-based equity metrics, validate LTIP data, and support quarterly valuation, reporting, and dividend equivalent calculations with a focus on accuracy, completeness, and control discipline.
- Serve as a primary point of contact for complex employee and executive equity inquiries, translating technical concepts into clear, practical guidance.
- Compliance, Controls & Audit Readiness
- Partner with Legal to support SEC-related equity requirements, including Section 16 filings (Forms 3, 4, and 5).
- Support quarterly reviews and year-end audits by preparing equity documentation, reconciliations, and reporting, while helping ensure audit readiness.
- Maintain and enhance internal controls, procedures, and documentation related to equity administration and reporting.
- Manage the Insider Trading List and Trading Window in accordance with Company policy.
- Partner closely with Payroll to ensure accurate equity-related tax withholding and reporting.
- Platform Optimization, Partnership & Process Improvement
- Serve as the functional owner of the Company’s equity administration platform (e.g., Equity Edge), identifying opportunities to better leverage the system to improve reporting, controls, automation, and operational efficiency.
- Liaise with the Company’s transfer agent, brokers, and equity administration vendors to ensure accurate data flows and timely issue resolution.
- Partner cross-functionally with Legal, Finance/Accounting, Payroll, HR, and executive stakeholders to support effective equity program execution.
- Lead or support equity-related initiatives focused on process improvement, governance, documentation, education, and employee experience.
- Compensation Administration
- Partner with Total Rewards to support annual and off-cycle compensation processes, including merit, bonus, equity, promotions, and market adjustments.
- Prepare reporting and analytics to support compensation decisions and budget tracking.
- Conduct job evaluations and market pricing using compensation survey data via MarketPay.
- Help support survey input and job matching in MarketPay.
Qualifications
- Manager level: 5+ years of equity plan administration or a combination of total rewards operations, compensation, and/or equity administration experience with demonstrated ownership of equity programs, process improvement initiatives, controls, and cross-functional problem solving.
- Senior Manager level: 7+ years of equity plan administration experience, or a combination of total rewards operations, compensation, and/or equity administration experience. Leadership of equity-related initiatives, platform optimization, governance or audit support, and strategic decision-making in a public-company environment.
- Direct, recent ownership of end-to-end equity administration in a public-company environment.
- Experience administering equity awards including RSUs, PSUs, RSAs, and executive equity.
- Strong understanding of equity-related tax, accounting, legal, and regulatory requirements, including audit and SEC considerations.
- Experience supporting SEC-related equity requirements, including Section 16 filings (Forms 3, 4, and 5).
- Demonstrated ability to operate in a highly regulated, deadline-driven environment with exceptional attention to detail.
- Proven ability to partner cross-functionally with Legal, Finance/Accounting, Payroll, HR, and external vendors.
- Experience working with equity administration platforms (e.g., Equity Edge) and managing vendor relationships.
- Strong written and verbal communication skills, with the ability to explain complex equity concepts clearly to employees and executives.
Preferred Qualifications
- CEP or similar equity-related certification.
- Experience administering equity programs in the United Kingdom including local tax, reporting, and compliance requirements.
- In-house equity administration experience with sustained ownership of execution, controls, and program outcomes.
- Experience supporting executive and director equity, including coordination with brokers, transfer agents, and Legal.
- Exposure to compensation support activities, such as participation in annual or off-cycle compensation processes, reporting, analytics, or market pricing.
- Experience with HRIS or compensation tools connected to equity administration (e.g., Workday, MarketPay).
