Job Details
We are seeking an associate attorney to join a collaborative corporate practice focused on supporting innovative businesses, entrepreneurs, and investment groups throughout the business lifecycle. In this role, we advise clients on formation, governance, financing transactions, strategic growth initiatives, and day-to-day corporate matters. Attorneys in this practice work closely with clients from early-stage development through significant growth milestones while partnering with colleagues across multiple corporate disciplines on complex and sophisticated matters.
Responsibilities
- Advise privately held and growth-oriented companies on corporate formation, structure, governance, and operational matters
- Counsel founders, management teams, and investors on legal and strategic issues throughout the company lifecycle
- Draft, review, and negotiate equity financing transaction documents
- Afford assistance with venture and growth-stage financing transactions from initial structuring through closing
- Advise clients regarding convertible securities and other early-stage funding arrangements
- Support corporate transactions involving technology-focused and innovation-driven businesses
- Afford assistance with equity compensation matters, including incentive plan implementation and administration
- Conduct legal due diligence and prepare corporate records and governance documentation
- Collaborate with attorneys across corporate, transactional, and regulatory practices on client matters
- Offer practical guidance on ongoing corporate and commercial issues facing growing businesses
Qualifications
- Juris Doctor degree and strong academic credentials
- Approximately 3–6 years of corporate transactional experience
- Experience representing privately held companies, founders, investors, or growth-oriented businesses
- Strong drafting, negotiation, and client counseling skills
- Experience handling financing transactions and related corporate documentation
- Ability to manage multiple matters while maintaining attention to detail
- Strong communication and interpersonal skills
- Comfortable working directly with clients and advising business stakeholders
Requirements
- Licensed and in good standing in at least one U.S. jurisdiction
- Meaningful experience with corporate governance and business entity matters
- Experience drafting and negotiating transaction documents in connection with private financings
- Familiarity with venture-backed or emerging company environments
- Understanding of equity incentive arrangements and capitalization matters
- Knowledge of corporate organizational documents and shareholder agreements
- Experience advising both companies and investors is strongly preferred
- Familiarity with market-standard financing structures and transaction workflows is preferred
- Ability to work independently while contributing effectively within a team environment
