Corporate Paralegal
Primary Responsibilities and/or Essential functions
- Aid attorneys with transactions: organize and review diligence materials, maintain closing files, prepare signature packages, execute closing documents, compile signing and closing sets.
- Manage corporate governance tasks: keep minute books, stock records, and stockholder files up-to-date.
- Draft and coordinate the execution of corporate documents, including incorporation/formation documents, UCC filings, board/stockholder consents, award agreements, and audit letters.
- Coordinate legal filings with state and federal agencies and retrieve necessary documents from these agencies.
- Conduct research and analysis using public records databases.

- Have excellent verbal and written communication skills.

- Be proficient in computer skills, including Microsoft Suite, Adobe, DocuSign, and online data sites.
- Track billable time effectively.
- Be willing to work overtime and travel, if needed or requested.
Education/Certifications
- A Bachelor's Degree (BA/BS) with a strong academic background is required.
- A Paralegal Certificate is preferred.
Compensation
The salary for this position is $65,000 annually ($35.71 per hour). This position is eligible for overtime and bonuses. Compensation decisions are based on qualifications, performance, and other relevant work-related factors.
