Corporate Paralegal
About the role
Mariani Premier Group is seeking a skilled and detail-oriented Corporate Paralegal to join our legal team. This role will play a critical part in supporting legal operations and ensuring compliance with regulatory requirements. The Corporate Paralegal will partner closely with the General Counsel, Corporate Secretary, and cross-functional business partners to assist with corporate transactions, regulatory filings, document preparation, and a variety of legal matters. This role is hybrid with 2-3 days in the office a week.
Responsibilities
- Corporate Governance: Assist in the preparation, organization, and maintenance of corporate governance documents, including board meeting minutes and resolutions.
- Regulatory Compliance: File annual reports; prepare license and permit applications required for business operations; collaborate with business leaders to gather and submit necessary information.
- Legal Document Drafting: Draft and prepare demand letters, corporate resolutions, and other legal and corporate documents as needed.
- Due Diligence: Support due diligence efforts related to corporate transactions, including acquisitions.
- Contract and Document Management: Maintain and manage legal documents, filings, and contracts, ensuring accurate organization, tracking, and version control.
- Record Keeping: Maintain accurate, organized, and confidential legal records, correspondence, and reports.
- Legal Team Support: Provide administrative and operational support to the legal team, including scheduling meetings, managing deadlines, and handling correspondence.
- Cross-Functional Communication: Facilitate effective communication between the legal team and internal departments.
Qualifications
- Completion of an accredited paralegal program or certification required.
- 5+ years of experience as a corporate paralegal in a law firm or corporate legal department.
- Strong understanding of corporate law, governance, and regulatory compliance.
- Exceptional attention to detail with the ability to work meticulously with legal documents and contracts.
- Excellent written and verbal communication skills, with the ability to interact effectively with colleagues and stakeholders.
- Strong organizational and time-management skills, with the ability to manage multiple priorities and meet deadlines.
- Proficiency with legal software, document management systems, and Microsoft Office Suite.
- Demonstrated ability to work effectively in a team-oriented environment.

Pay
Position Range $60,000 - $70,000
